These terms apply to every quotation, order and sale by Zemixal (the Seller) to a customer (the Buyer), and to use of zemixal.com. Terms in a Buyer's purchase order apply only if the Seller accepts them in writing.
1. Professional buyers only
Zemixal sells to businesses, institutions and professional users. By ordering, the Buyer confirms it is acting in the course of business and that the person ordering is authorised to do so.
2. Quotations and contracts
Quotations are valid for the period stated, or 30 days if none is stated. A contract is formed when the Seller issues a proforma invoice or written order confirmation. The Seller may decline an order, including where end-use, licensing or sanctions checks are not satisfied.
3. Prices and payment
Prices are in the currency and Incoterm shown on the quotation. Taxes, duties and bank charges outside India are for the Buyer unless stated otherwise. Payment is due as stated on the proforma invoice. Bank details are valid only as given on the proforma invoice.
4. Delivery and risk
Delivery and transfer of risk follow the agreed Incoterm under Incoterms 2020. Lead times are estimates given in good faith. The Seller is not liable for delays caused by carriers, customs, regulatory holds or events beyond its reasonable control.
5. Specification and use
Goods conform to the specification on the quotation and lot certificate of analysis. Unless expressly stated, products are supplied for laboratory, research or industrial use. The Buyer is responsible for deciding whether a product suits its intended use and for any approvals needed for use in medicines, food, cosmetics or other regulated products.
6. Compliance
The Buyer must comply with import, export, sanctions and chemical control laws, must not divert goods to prohibited uses or destinations, and must provide accurate end-use information when asked.
7. Claims
Claims are handled under the returns policy. Transit damage must be reported within 7 days and specification claims within 30 days of delivery.
8. Liability
The Seller's total liability for any order is limited to the price paid for the goods concerned. The Seller is not liable for indirect or consequential loss. Nothing in these terms limits liability that cannot lawfully be limited.
9. Website use

10. Law and disputes
